About these Terms
These Terms of Use ("Terms") govern your use of Festivity (the "Platform"), operated by Lev Skrjabin, a private individual based in Estonia.
By creating an account or using the Platform, you agree to these Terms. If you do not agree with these Terms, please do not use the Platform.
If you use the Platform on behalf of a company or other organisation, you confirm that you have the authority to accept these Terms on its behalf.
Definitions
For the purposes of these Terms:
- "Platform" means the Festivity website and its related features and services.
- "User" means any person who accesses or uses the Platform.
- "Client" means a User looking for an Artist or arranging entertainment for an event.
- "Artist" means a User who creates an Artist profile and offers performances or entertainment-related services through the Platform.
- "Booking Request" means a request sent by a Client to an Artist through the Platform regarding a potential booking.
- "Content" means text, photographs, videos, profile information, messages and other materials uploaded, submitted or otherwise made available by Users through the Platform.
- "Rating" means the numeric score (1 to 5) a Client may submit to reflect their experience with an Artist after a completed booking, together with an optional written review ("Review"), as described in these Terms.
What Festivity is, and what it is not
Festivity is an online marketplace that connects event organisers ("Clients") with performers and entertainment professionals ("Artists").
The Platform provides tools for discovery, communication, Artist profiles, availability information and booking requests.
Festivity is not a party to any agreement made between a Client and an Artist. Festivity is not an agency, employer, promoter, manager or representative of any Artist.
Festivity does not negotiate or set prices, supervise or guarantee performances, handle payments between Clients and Artists, or guarantee that information provided by Users is accurate, complete or current.
Artist profiles may be reviewed before publication, but this review is limited and does not constitute verification, endorsement or a guarantee of an Artist's identity, qualifications, experience, quality, availability or performance.
Any agreement concerning a performance or other service is made directly between the Client and the Artist. Any dispute concerning that agreement is primarily between the Client and the Artist.
Festivity's role is limited to enabling discovery, communication and initial contact between Clients and Artists. No contract is concluded through the Platform, and no payment or transaction of any kind takes place through the Platform.
Eligibility and accounts
You must be at least 16 years old to create an account.
If you are under 18, you may only use the Platform with the involvement and consent of a parent or legal guardian.
To use most Platform features, you must create an account. You agree to:
- provide accurate, complete and current information;
- keep your account credentials confidential;
- not share your account with another person;
- be responsible for activity carried out through your account; and
- promptly notify Festivity if you suspect unauthorised access to your account.
You must not create an account using another person's identity or information.
We may suspend or terminate an account in accordance with these Terms and applicable law.
Artist profiles and User Content
If you publish an Artist profile, you confirm that:
- the information you provide is truthful, accurate and not misleading;
- you offer services that you are actually able and authorised to provide;
- you have the necessary rights or permissions to use photographs, videos, music, descriptions and other materials you upload;
- your Content does not infringe intellectual property, privacy, publicity or other rights of another person;
- your Content is not unlawful, fraudulent, threatening, discriminatory or otherwise prohibited by these Terms; and
- your profile and offers comply with applicable laws.
You remain responsible for your Content and retain ownership of Content for which you hold the relevant rights.
By uploading Content to the Platform, you grant Festivity a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, display and use that Content to the extent reasonably necessary to operate, maintain, promote and improve the Platform.
This licence ends within a reasonable period after the Content is deleted from the Platform, except where continued retention or use is necessary for legal, security, dispute-resolution or other legitimate purposes.
You must not upload Content that you do not have the right to use.
Artists may add links to their social media profiles and website, and links to videos and audio tracks hosted on supported third-party services. Such content remains subject to the terms of the service hosting it, and you must have the right to share it. Festivity may remove links or embedded content that breach these Terms.
Artist status and Client status
Artists may use Festivity as private individuals or in connection with a business or professional activity.
Where applicable, an Artist is responsible for complying with all legal requirements applicable to their activity, including tax, invoicing, licensing, consumer-protection and other obligations.
Festivity does not automatically determine or guarantee the legal or professional status of an Artist unless explicitly stated otherwise.
Clients may use Festivity as private consumers or in connection with a business or organisation.
Before entering into an agreement, Clients should consider the Artist's stated status and any information provided on the Platform.
Where an agreement is made between a Client and an Artist, the Artist is responsible for fulfilling the obligations applicable to that agreement.
Booking requests and availability
Sending a Booking Request is an enquiry and does not by itself create a confirmed booking or contract.
An Artist may accept or decline a Booking Request at their discretion.
A Booking Request becomes a confirmed arrangement only when the Client and Artist have agreed on the relevant terms.
The availability calendar shown on an Artist's profile is indicative only. It reflects information provided by the Artist and may not always be current or accurate. Clients should confirm availability directly with the Artist.
Unless otherwise required by applicable law, all arrangements concerning the performance or service, including the final price, timing, location, technical requirements, payment arrangements and cancellation terms, are agreed directly between the Client and the Artist.
Festivity does not guarantee that a Booking Request will be accepted, that an Artist will remain available, or that an agreed performance will take place.
Ratings and reviews
After a booking has been marked as finished, a Client who made that booking may leave a Rating for the Artist. A Rating may include an optional written Review of up to 1,000 characters. Reviews are shown publicly on the Artist's profile together with the Client's first name and the initial of their last name, the score and the date.
A Client may only rate an Artist for a booking that Client actually made and that has been completed. A Client who books the same Artist more than once may leave a separate Rating for each completed booking.
Ratings must reflect the Client's genuine experience. You must not submit a Rating that is false, submitted in bad faith, or intended to manipulate an Artist's average score — including by rating your own Artist profile through another account, or by coordinating, soliciting or incentivising Ratings from others.
Reviews must be about the performance or service actually booked. They must not contain insults, threats, discriminatory content, personal data of other people (such as phone numbers, addresses or email addresses), advertising, links or any other Content prohibited by these Terms.
Festivity calculates and displays an Artist's average rating and number of Ratings based on the Ratings submitted. Festivity does not independently verify the accuracy of any individual Rating and does not guarantee that the displayed average reflects any particular Client's experience.
Festivity may hide a Review from public view, remove a Rating, or exclude it from an Artist's average, where it was submitted in violation of these Terms or applicable law.
A Rating and its Review may only be edited by the Client who submitted them, and only within 7 days after submission. A Rating may not be edited or removed by the Artist it concerns; an Artist who believes a Rating was submitted in violation of these Terms may report it as described in “Reporting illegal or prohibited Content” below.
Messaging
The Platform may provide messaging tools that allow Clients and Artists to communicate.
You must not use messaging features to:
- send spam or unsolicited commercial communications;
- harass, threaten or intimidate another person;
- send unlawful or fraudulent content;
- distribute malware or other harmful material;
- impersonate another person; or
- conduct activities prohibited by these Terms or applicable law.
Messages are intended to be accessible to the participants of the relevant conversation.
Festivity does not routinely monitor private messages. However, we may access, review, preserve or disclose messages where reasonably necessary to investigate reported violations, protect Users or the Platform, prevent abuse or comply with a legal obligation.
Prohibited conduct
You must not use the Platform to:
- impersonate another person or organisation;
- misrepresent your identity, qualifications, experience or authority;
- publish false, fraudulent or deliberately misleading information;
- provide or request unlawful services;
- harass, threaten, abuse or discriminate against other Users;
- infringe intellectual property, privacy or other rights;
- attempt to gain unauthorised access to the Platform, another account or underlying systems;
- introduce malware, viruses or other harmful code;
- scrape, copy, reproduce or systematically reuse Platform Content without permission;
- interfere with the operation or security of the Platform;
- submit false, fraudulent or manipulated Ratings, or otherwise attempt to manipulate an Artist's Ratings;
- create or use multiple accounts to circumvent these Terms or any restriction placed on an account;
- use the Platform for fraudulent or deceptive purposes; or
- otherwise use the Platform in violation of applicable law.
Reporting illegal or prohibited Content
Users may report Content or activity that they believe is illegal or violates these Terms.
Reports can be submitted with the “Report profile” button on an Artist's page or by contacting: info@festivity.ee
Festivity does not tell the reported User who submitted a report, unless required by law.
A report should, where possible, include enough information for Festivity to identify the relevant Content or activity and understand the reason for the report.
Festivity may review reports and take appropriate action where required or considered appropriate under applicable law and these Terms. Such action may include removing or restricting Content, limiting functionality, suspending an account or taking other measures.
Submitting a report does not guarantee that Content will be removed.
Content moderation and account restrictions
Festivity may take action against Content or accounts where reasonably necessary, including where:
- Content violates these Terms or applicable law;
- a User provides fraudulent or materially misleading information;
- an account is used for abusive, harmful or fraudulent activity;
- the Platform or other Users are at risk;
- Festivity is required to act by law or a competent authority; or
- action is otherwise reasonably necessary to protect the Platform, Users or third parties.
Depending on the circumstances, Festivity may remove or restrict Content, limit access to particular features, temporarily suspend an account or terminate an account.
Where required by applicable law, Festivity will provide appropriate information about the reasons for a restriction or moderation decision.
Complaints and appeals
If you believe that Content has been incorrectly removed or restricted, or that your account or access to a Platform feature has been incorrectly suspended or terminated, you may contact Festivity at: info@festivity.ee
Please explain the relevant decision and why you believe it should be reconsidered.
Festivity will review the request and, where appropriate, reconsider the relevant decision.
Nothing in this section limits any rights or remedies available to you under applicable law.
Intellectual property
The Platform, including its software, design, branding, logos, layout and other Platform-owned materials, is owned by or licensed to Festivity and is protected by applicable intellectual property laws.
Except as permitted by law or expressly authorised by Festivity, you may not reproduce, modify, distribute, sell, publicly display or systematically reuse Platform materials.
Nothing in these Terms transfers ownership of Festivity's intellectual property to Users.
Fees
At present, use of the Platform is free for both Clients and Artists. Some features have limits on the free plan (for example, the number of videos and audio tracks an Artist can add to a profile). Festivity may in the future introduce paid plans or paid features, for example higher limits or additional tools. We will announce any such plans and their prices in advance, and nothing will be charged unless you choose a paid plan or feature. If we change which features are included for free, we will give registered Users reasonable notice in advance.
Festivity does not currently process payments between Clients and Artists.
If Festivity introduces paid features or fees in the future, the applicable pricing and payment terms will be communicated before the relevant paid service is used.
Any future paid services may be subject to additional terms.
Cancellation and disputes between Users
Festivity does not currently process booking payments and is not a party to agreements between Clients and Artists.
Cancellation terms for a performance or service should therefore be agreed directly between the Client and the Artist before the booking is confirmed.
A Client can cancel a Booking Request on the Platform before the event date. This only notifies the Artist and frees the date in their calendar; it does not change any cancellation terms agreed between the Client and the Artist.
Festivity is not responsible for resolving contractual disputes between Clients and Artists, although we may provide reasonable assistance where appropriate or required by law.
Disclaimer
To the maximum extent permitted by applicable law, the Platform is provided on an "as is" and "as available" basis.
Festivity does not guarantee that:
- the Platform will always be available or uninterrupted;
- the Platform will be error-free or secure at all times;
- information provided by Users will always be accurate, complete or current;
- an Artist or Client will behave as expected;
- an Artist will be available or suitable for a particular event;
- a Booking Request will be accepted; or
- a performance or other service will take place as agreed.
A Rating and any Review reflect the subjective opinion of the individual Client who submitted them. Festivity does not verify, endorse or guarantee the accuracy of any Rating or of an Artist's average rating.
Festivity does not endorse or guarantee any particular Artist, Client, service, performance, qualification, experience or user-generated Content unless expressly stated otherwise.
Limitation of liability
To the maximum extent permitted by applicable law, Festivity is not liable for the conduct, reliability, quality, punctuality, legality or performance of any Artist or Client, or for any agreement, booking or transaction between Users.
Festivity is not responsible for disputes between Clients and Artists or for payments made directly between them.
To the maximum extent permitted by applicable law, Festivity is not liable for indirect, incidental or consequential losses, including loss of profits, loss of bookings, loss of business opportunities or reputational harm.
Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable law.
Nothing in these Terms affects mandatory consumer rights or other rights that cannot legally be waived.
Availability and changes to the Platform
We aim to keep the Platform available, but we may temporarily suspend, modify or discontinue parts of the Platform for maintenance, security, development, technical reasons or other legitimate purposes.
The Platform is in active development. Features, design and functionality may change, and errors or temporary interruptions may occur.
Where required by applicable law, we will provide appropriate notice of material changes or discontinuation.
Account termination
You may stop using the Platform and request deletion of your account at any time.
Festivity may suspend or terminate your access where you materially breach these Terms, violate applicable law, engage in harmful or fraudulent activity, or where reasonably necessary to protect Users, the Platform or third parties.
Where appropriate and legally required, Festivity may provide you with information about the reason for the suspension or termination.
Termination does not affect rights or obligations that arose before termination or provisions that by their nature should continue to apply.
Privacy and personal data
Your personal data is processed in accordance with Festivity's Privacy Policy, which explains how personal data is collected, used, stored and otherwise processed.
The Privacy Policy is available separately on the Platform.
Where there is a conflict between these Terms and the Privacy Policy concerning the processing of personal data, the Privacy Policy and applicable data-protection law will apply to that processing.
Consumer rights
Nothing in these Terms is intended to remove or restrict mandatory consumer rights provided by applicable law.
Where a Client is a consumer and an Artist is acting as a trader or professional, the Client may have consumer rights under applicable European Union and national law.
Where an Artist is acting as a private individual rather than as a trader, certain consumer-protection rights may not apply to the agreement between the Client and the Artist.
Users are responsible for reviewing the information provided by the other party and the terms of any agreement before committing to a booking.
Governing law and disputes
These Terms are governed by the laws of the Republic of Estonia, without prejudice to mandatory consumer-protection rules that apply in the country where a consumer resides.
If a dispute concerning these Terms cannot be resolved amicably, it may be submitted to the competent courts in accordance with applicable law.
If you are a consumer resident in the European Union, you retain any mandatory rights to bring proceedings before the courts available under applicable consumer-protection rules.
Language of these Terms
These Terms are available in multiple languages, for the convenience of Users.
In the event of any conflict, ambiguity or discrepancy between the English version of these Terms and a translated version, the English version prevails, except where applicable law requires that a local-language version control.
Notices
Festivity may provide notices to you by email to the address associated with your account, by posting a notice within the Platform, or by other reasonable means.
It is your responsibility to keep your account email address current. A notice sent by email is considered received when it is sent, unless Festivity becomes aware that delivery failed.
General provisions
Entire agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Festivity regarding your use of the Platform, and supersede any prior agreements or understandings on that subject.
No waiver. Festivity's failure to enforce any provision of these Terms, or any delay in doing so, does not constitute a waiver of that provision or of any right to enforce it at a later time.
Severability. If any provision of these Terms is found by a competent court or authority to be invalid, illegal or unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
Force majeure. Festivity is not liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond its reasonable control, including internet or infrastructure outages, natural disasters, acts of government, or failures of third-party service providers.
Changes to these Terms
We may update these Terms from time to time.
When we make material changes, we will update the "Last updated" date and, where appropriate, provide reasonable notice to registered Users.
The updated Terms will apply from the date stated in the updated version, subject to applicable law.
If you continue to use the Platform after the updated Terms take effect, this may constitute acceptance of the updated Terms where legally permitted.
If you do not agree to the updated Terms, you should stop using the Platform.
